Board Vacancy – Ottawa River Power Corporation

The Ottawa River Power Corporation is looking to fill a vacancy on its Board of Directors.

The ORPC Board of Directors is responsible for supervising the management of the business and affairs of the Corporation. The Board governs itself in accordance with the standards of care set out in the Business Corporations Act (Ontario) and the requirements of the Ontario Energy Board Act, 1998. The Board of Directors is appointed by the four shareholders.

The Board of Directors consists of seven directors appointed by the municipal shareholders.

Bill 140 and the PULSE report

In late October, the Province’s Panel for Utility Leadership and Service Excellence (PULSE) released its final report, and on October 27 the Province introduced Bill 140, which would put many of the Panel’s recommendations into the Ontario Energy Board Act. As introduced, the bill would:

  • Require boards of 7 to 11 directors who, as a whole, have the experience and expertise suited to the utility;
  • Make the following ineligible to serve as directors, including directors already in office: members of any municipal council in Ontario, officers or employees of any municipality, and members, directors, officers or employees of municipal local boards.

The role of an ORPC director

ORPC is a regulated electricity distributor serving approximately 11,800 customers. The board oversees a business governed by the Ontario Energy Board, the Electricity Act, the Ontario Business Corporations Act and a wide range of safety and environmental requirements.

Over the coming term, the board will oversee the outcome of our Cost of Service rate application, a major federally funded grid modernization project, cyber security compliance, and a long-term system planning study.

In practice, directors receive detailed board packages that include financial statements, regulatory filings, capital plans and risk reports, and most also serve on at least one committee (Finance and Audit, Governance and HR, or Affiliate Relationships Code). The directors who contribute most effectively are those who have the time to review materials and come prepared, and who bring experience or a genuine interest in areas such as finance, accounting, law, engineering, operations or regulated businesses. Familiarity with how a utility operates is a real asset. It is also worth noting that, under the Business Corporations Act, a director’s legal duty is to act in the best interests of the corporation.
